1. Acceptance of Terms

By accessing or using corvexweb.com (the "Site") or engaging Corvex Technology LLC ("Corvex," "we," "us," or "our") for services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please discontinue use of the Site and do not engage our services.

Corvex provides IT services including, but not limited to, UI/UX design, web development, smart app development, digital marketing, social media management, ERP integration, and motion graphics. Specific deliverables, timelines, and pricing for any engagement will be defined in a proposal or service agreement signed by both parties.

We reserve the right to modify, suspend, or discontinue any part of our publicly listed services at any time, without affecting active client engagements under a signed agreement.

3. Use of Our Website

You agree to use the Site only for lawful purposes and in a way that does not infringe the rights of, or restrict or inhibit the use of, the Site by any third party. Prohibited uses include, without limitation:

• Attempting to gain unauthorized access to the Site, servers, or connected systems
• Uploading or transmitting viruses, malware, or other harmful code
• Scraping, harvesting, or collecting data from the Site without our prior written consent
• Using the Site to transmit false, misleading, or fraudulent content

4. Accounts & Client Access

Certain services may require you to provide accurate, current, and complete information and to maintain the confidentiality of any credentials issued to you for project portals, staging environments, or file-sharing tools. You are responsible for all activity that occurs under your account or credentials, and you agree to notify us promptly of any unauthorized use.

5. Intellectual Property

Unless otherwise agreed in writing, all content on the Site — including text, graphics, logos, and the Corvex name and marks — is the property of Corvex Technology LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written permission.

For client deliverables, ownership of final work product transfers to the client upon full payment, as specified in the applicable service agreement, except for pre-existing tools, frameworks, or components that remain Corvex's property and are licensed for the client's use.

6. Payment Terms

Pricing, invoicing schedules, and payment terms for services are outlined in each client's signed proposal or service agreement. Unless otherwise stated:

• Invoices are due within 15 days of the invoice date
• Late payments may be subject to a service pause until the account is brought current
• Deposits or milestone payments, where required, are non-refundable once work has commenced

7. Third-Party Services

Our Site and services may reference or integrate with third-party platforms (such as hosting providers, payment processors, or ERP systems like Infor). We are not responsible for the content, policies, or practices of any third-party services, and your use of them is subject to their own terms and privacy policies.

8. Disclaimers & Warranties

The Site and its content are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, Corvex Technology LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from your use of the Site or our services. Our total liability for any claim arising from a service engagement shall not exceed the total fees paid by you to Corvex for the specific service giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Corvex Technology LLC, its officers, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your violation of these Terms or your misuse of the Site or our services.

11. Termination

We reserve the right to suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Termination of a service engagement is governed by the terms of the applicable signed agreement.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in New York, NY.
